CoBuy — Terms of Service

1. Overview

These Terms of Service ("Terms") govern your use of CoBuy, a Shopify application that enables social buying, tiered discounts, and shared shipping benefits for online stores. By installing CoBuy, you agree to these Terms.

2. Description of Service

CoBuy provides:

• Social buying — customers purchasing the same product form circles together
• Tiered discounts — discounts increase as more customers join a circle
• Shared shipping — additional savings for customers at the same address
• Payment adjustments — order amounts reduced after group conditions are met
• Customer notifications — updates about circle progress and savings

3. How Pricing Adjustments Work

Important:

• Customers are charged the full listed price at checkout
• As more customers join the circle, tier-based discounts accumulate
• Discount levels are recorded when each order is placed and again when the circle is finalized
• If the store updates discount levels while a circle is active, CoBuy compares the price at circle creation with the price at circle expiration and automatically applies whichever results in the lower price for the customer
• Orders may be held for a configured period (typically 1-4 days) to allow additional customers to join; the final discount is determined when the hold period ends
• Depending on store configuration, discounts are applied via order edit with reduced payment capture
• The final charge will always be equal to or less than the original checkout price
• If no additional customers join, the original price stands — no penalty
• Discount calculations may include minor rounding differences of up to ±0.02 in the store's currency due to currency arithmetic
• The store may cancel orders within a circle at its discretion based on customer history or other factors; cancellations may reduce the circle's discount level for remaining members

4. Merchant Obligations

By using CoBuy, you agree to:

• Clearly inform customers about the social buying model
• Maintain accurate product pricing and discount configurations
• Not use CoBuy to mislead customers about pricing
• Comply with applicable consumer protection laws
• Comply with Shopify's Terms of Service and Acceptable Use Policy

5. Billing

• All charges are processed through Shopify's billing system
• We do not process payments directly or store payment information
• Upon uninstalling the app, billing ceases immediately
• Current pricing is displayed within the app and on our App Store listing

6. SMS/WhatsApp Notifications

CoBuy may send SMS or WhatsApp notifications to customers who opt in on the order status page. By opting in, customers agree to receive messages about discount tier updates, circle expiry reminders, and final savings summaries.

• Message and data rates may apply
• Customers can opt out at any time by replying STOP
• For help, customers can reply HELP or email support@cobuyapp.com
• We do not share, sell, or distribute mobile opt-in data (including phone numbers) with any third parties or affiliates for marketing or promotional purposes
• Consent to receive messages is not a condition of purchase

7. Data Usage

• We access store data solely to provide app functionality
• We do not use data for purposes outside of app operations
• Full details in our Privacy Policy at cobuyapp.com/privacy
• Upon uninstall, all data is permanently deleted within 48 hours

8. Intellectual Property

CoBuy and its code, design, and documentation are owned by Vyasa Technology Solutions. Merchants retain full ownership of their store data, products, and customer information.

9. Availability and Support

• We aim to maintain high uptime but do not guarantee uninterrupted service
• Support is available via email
• We aim to respond within 24 hours on business days

10. Limitation of Liability

To the maximum extent permitted by law, CoBuy is not liable for:

• Loss of revenue resulting from app usage or downtime
• Incorrect discounts resulting from merchant misconfiguration
• Customer disputes arising from the social buying model
• Order processing delays caused by third-party services

11. Prohibited Uses

You may not:

• Use CoBuy to engage in fraudulent pricing schemes
• Artificially inflate group sizes or manipulate discount eligibility
• Reverse engineer or attempt to extract the source code
• Resell or sublicense access to CoBuy

12. Termination

• You may uninstall CoBuy at any time
• We may suspend access if Terms are violated or if required by Shopify
• Upon termination, all data is deleted per our retention policy

13. Modifications

We may update these Terms from time to time. Continued use after changes constitutes acceptance.
